1. Agreement to Terms
By accessing or using the services provided by Mitrotech ("Company," "we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services.
2. Services
Mitrotech provides the following services:
- Website Development (Static, Dynamic, E-commerce)
- Application Development (Mobile, Web, PWA)
- Microsoft PowerApps Solutions
- AI & Automation Solutions
- Business Process Automation
- IT Consulting Services
3. Project Engagement
3.1 Quotation and Agreement
All projects begin with a detailed quotation outlining scope, timeline, and cost. Work commences only after written approval of the quotation.
3.2 Payment Terms
- 50% advance payment is required to initiate the project
- Remaining 50% is due upon project completion
- For larger projects, milestone-based payment schedules may be arranged
- We accept UPI, bank transfer, and cash payments
3.3 Project Timeline
Estimated timelines are provided in the quotation. Delays caused by client-side delays in providing content, feedback, or approvals may extend the timeline.
4. Client Responsibilities
The client agrees to:
- Provide all necessary content, images, and materials in a timely manner
- Provide feedback and approvals within agreed timeframes
- Ensure accuracy of all provided information
- Maintain confidentiality of login credentials
- Comply with applicable laws regarding website content
5. Intellectual Property
5.1 Ownership
Upon full payment, the client receives ownership of the final deliverables, excluding:
- Third-party licensed materials
- Open-source components (governed by their respective licenses)
- Our proprietary frameworks and tools
5.2 Portfolio Rights
We reserve the right to showcase completed projects in our portfolio unless otherwise agreed in writing.
6. Hosting and Maintenance
6.1 Hosting Services
Hosting packages include:
- Web hosting on reliable servers
- SSL certificate
- Regular backups
- Technical support
Hosting duration varies by package (1-3 years). Renewal fees apply after the initial period.
6.2 Maintenance Services
Optional maintenance services are available for ongoing support, updates, and content changes. Maintenance plans are billed monthly or annually.
7. Warranty and Support
- We provide a 30-day warranty period after project completion for bug fixes
- Issues arising from client modifications or third-party interference are not covered
- Feature additions or changes after completion are billed separately
8. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount paid for the specific service
- We are not responsible for losses due to third-party services, hosting providers, or internet connectivity
9. Confidentiality
Both parties agree to maintain confidentiality of all proprietary information shared during the project engagement. This obligation continues after project completion.
10. Termination
10.1 By Client
The client may terminate the project by providing written notice. Advance payments are non-refundable. Payment for completed work up to the termination date is required.
10.2 By Company
We may terminate the engagement if:
- Payment obligations are not met
- Client fails to provide required materials or feedback
- Client requests violate our policies or laws
11. Dispute Resolution
Any disputes shall be resolved through:
- Direct negotiation between parties
- Mediation, if negotiation fails
- Arbitration under the Arbitration and Conciliation Act, 1996
The jurisdiction for any legal proceedings shall be Sindhudurg, Maharashtra, India.
12. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, power outages, internet disruptions, or government actions.
13. Modifications
We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.
14. Governing Law
These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Sindhudurg, Maharashtra.
